Tokyo Gas agreed to buy Rockcliff Energy from private equity firm Quantum Energy Partners (now Quantum Capital Group) for about $2.7 billion. The deal runs through TG Natural Resources, the U.S. upstream company funded by Tokyo Gas America. Rockcliff produces natural gas in the Haynesville shale in East Texas and Louisiana.
Why it matters
It was Tokyo Gas's biggest overseas acquisition and made it a sizable Haynesville producer close to the Gulf Coast LNG export terminals. Owning upstream gas helps a Japanese utility hedge its LNG supply and earn from U.S. gas prices.
The deal
Tokyo Gas signed on December 15, 2023 to buy Rockcliff Energy from Quantum for about $2.7 billion through TG Natural Resources, its US shale gas company. The deal closed in early January 2024.
What Rockcliff brings
Rockcliff holds more than 200,000 net acres in the Haynesville shale in East Texas, producing more than 1.3 billion cubic feet of gas a day from wells it operates. Tokyo Gas said the deal would raise TGNR's output about fourfold, from about 330 million to 1.3 billion cubic feet a day.
Tokyo Gas added more Haynesville acreage in a 2025 deal with Chevron.
