Otsuka Pharmaceutical agreed through Otsuka America to acquire New York-based Transcend Therapeutics for $700 million at closing plus up to $525 million in sales-based milestones. Transcend is developing TSND-201 (methylone), a fast-acting neuroplastogen for post-traumatic stress disorder. The deal closed on June 12, 2026.
Why it matters
The deal strengthens Otsuka's central nervous system pipeline as its older psychiatry drugs face patent expiries. It is also a bet on psychedelic-adjacent drugs as a new class of treatment for psychiatric disorders.
The deal
Otsuka announced the agreement on March 27, 2026 and said it expected to close in the second quarter, subject to customary approvals. At closing on June 12, Otsuka America paid the $700 million to Transcend's shareholders, and Transcend became a wholly owned subsidiary of Otsuka America. The remaining $525 million is contingent on future sales milestones for the assets in development.
About Transcend and TSND-201
TSND-201 is methylone, a compound related to MDMA. It promotes the release of serotonin, norepinephrine and dopamine but has no activity at the 5-HT2A receptor linked to hallucinations, which sets it apart from classic psychedelics.
In the Phase 2 IMPACT-1 trial in adults with PTSD, the drug met its primary endpoint, improving the clinician-rated CAPS-5 severity score by 9.64 points more than placebo at day 64. The response rate was 57.1% against 19.2% for placebo. The results were published in JAMA Psychiatry in February 2026. The FDA granted Breakthrough Therapy designation on July 10, 2025, and Transcend began recruiting patients for a Phase 3 trial after discussions with the agency.
Strategy
Otsuka said the purchase builds on its long experience in psychiatry and neurology, including schizophrenia, bipolar disorder, depression and PTSD. Transcend is its second acquisition in the neuroplastogen field, after Canada's Mindset Pharma.
What to watch
The value of the deal to Otsuka depends on the Phase 3 program, which must succeed before the sales-based payments come into play. According to a Japanese trade paper in April 2026, Otsuka is aiming for a US launch around 2030 and hopes for peak sales of more than ¥100 billion.
