Steel trader Hanwa and the Development Bank of Japan agreed to buy Associated Steel Group, which makes pre-engineered steel buildings for factories and commercial sites in the southern US through Alliance Steel in Oklahoma and ACI Building Systems in Mississippi. Hanwa took 50.1% through Hanwa American and DBJ 49.9%. The deal closed at the end of August after US antitrust clearance.
Why it matters
Hanwa wants half its sales from overseas, up from 38%, and ASG moves it from trading steel into fabricating it, close to US factory construction demand. DBJ's co-investment shows Japan's state lender backing midsize firms' US expansion.
The deal
Hanwa disclosed the purchase in a notice dated June 30, 2026. The $347 million figure is an aggregate base value for 100% of the membership interests in Associated Steel Group, LLC, and Hanwa's notice said the final price could differ from it. Before the deal, ASG was wholly owned by Associated Group Holdings, LLC.
The notice set Hanwa's stake at between 50.1% and 100%, with DBJ investing in the rest. If DBJ did not close its part, Hanwa said it would take 100% itself. To fund the purchase, Hanwa planned to raise the capital of its US subsidiary, Hanwa American Corp. (HAMCO), from $40 million to as much as $437.25 million.
At completion on August 31, 2026, Hanwa reported a total investment of about $226 million for its 50.1%, including loans to ASG used to repay the group's existing debt and certain other obligations.
About ASG
ASG makes pre-engineered metal building systems, in which steel members are fabricated in a plant and assembled on site. Its two operating companies, Alliance Steel and ACI Building Systems, employ nearly 600 people at facilities in Oklahoma City and Batesville, Mississippi.
The group was formed in 2012 by Chicago private equity firm Promus Equity Partners and independent sponsor Jon Vesely to consolidate metal building makers. It bought ACI that year and added Alliance Steel in early 2014.
Advisers and approvals
Investment bank Stephens lists the transaction among its completed deals as financial adviser, dated August 31, 2026. The deal required US competition clearance, which was obtained before closing. DBJ made its 49.9% investment through its Special Investment Operations program.
What to watch
Hanwa has said it aims eventually to own all of ASG, which would mean buying out DBJ's stake at a later date. ASG becomes a consolidated subsidiary in the fiscal year ending March 2027.
