ENEOS Holdings signed a merger agreement for its US subsidiary to acquire TPC Holdings, whose TPC Group runs a C4 chemicals plant in Houston and terminals in Port Neches, Texas, and Lake Charles, Louisiana. TPC is a leading North American producer of butadiene and butene. ENEOS gave no price when it signed, but put it at about $758 million when the deal closed on October 26, 2026. Bloomberg had reported about $1.28 billion including debt.
Why it matters
The deal makes ENEOS the world's third-largest butadiene producer and gives it a US base fed by cheap shale feedstock. It fits ENEOS's plan to shift from fuels toward materials such as synthetic rubber.
The deal
The acquisition is structured as a reverse merger: a special purpose company set up under ENEOS's wholly owned US subsidiary merges with TPC Holdings, leaving TPC as an ENEOS subsidiary. The merger agreement was signed on August 7, 2026. After closing, TPC will be consolidated into ENEOS's High Performance Materials segment.
ENEOS used SMBC Nikko Securities and Jefferies as financial advisers, according to The Deal, and Freshfields as legal counsel. TPC was advised by Moelis & Company (financial) and Paul Hastings (legal).
About TPC Group
TPC says it holds the largest North American share in several C4 products, including butadiene, raffinate, 1-butene and polybutene. Houston is its main production site; TPC says a crude C4 expansion completed in December 2024 lifted the site's butadiene nameplate capacity to 1.1 billion pounds a year. Port Neches, where a November 2019 explosion destroyed production units, now operates as a terminal.
TPC filed for Chapter 11 in Delaware in June 2022 and emerged in December 2022 after a restructuring backed by its secured noteholders that cut more than $950 million of debt. Before that it had been owned by private equity firms SK Capital Partners and First Reserve. At the time of the ENEOS agreement its largest shareholder was Redwood Capital Management, with a 40.5% stake.
Strategy
ENEOS places the deal under the portfolio restructuring of its Fourth Medium-Term Management Plan, which shifts resources to base and materials businesses expected to add to earnings in the near term. It says securing more butadiene, a key feedstock for its elastomers such as solution-polymerized styrene-butadiene rubber (S-SBR), will strengthen supply and its ability to handle market swings across the chain from C4 chemicals to high-performance elastomers.
Approvals and timeline
ENEOS completed the acquisition on October 26, 2026 (US time). Its special purpose company merged into TPC Holdings, with TPC surviving, and the old TPC shares were cancelled for cash. ENEOS put the purchase price at about $758 million, an estimate to be finalized after adjustments such as net interest-bearing debt. TPC joins ENEOS's High Performance Materials segment, run together with ENEOS Materials. Ed Dineen stays on as TPC's president and CEO, and two ENEOS Group representatives join its senior leadership team. ENEOS said the effect on its earnings is still being assessed.
